These Terms & Conditions ("Terms") govern your access to and use of the Mente Labs LLC platform, website, and services (collectively, the "Services"). Please read these Terms carefully before using our Services.

By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use our Services.

Your Agreement to These Terms

Eligibility

You must be at least 18 years of age to use our Services. By using our Services, you represent and warrant that you meet this age requirement and have the legal capacity to enter into this Agreement.

User Accounts

To access certain features of our Services, you must create an account. You agree to:

• Notify us immediately of any unauthorized access or security breach
• Accept responsibility for all activities that occur under your account

Acceptable Use

• Use the Services for any unlawful, fraudulent, or malicious purpose
• Interfere with or disrupt the Services or servers/networks connected to the Services
• Attempt to gain unauthorized access to any portion of the Services
• Use automated means (bots, scrapers, crawlers, or similar tools) to access, copy, or extract data from the Services without our express written permission
• Harass, abuse, threaten, or harm other users or Mente Labs staff
• Impersonate any person or entity or misrepresent your affiliation
• Upload or transmit viruses, malware, or other malicious code
• Attempt to reverse-engineer, decompile, or extract underlying AI models, algorithms, or proprietary logic from the Services
• Deliberately manipulate, deceive, or attempt to circumvent AI systems to produce harmful, misleading, or policy-violating outputs
• Use AI-generated content from the Services to train competing AI models or services
• Share account credentials or allow unauthorized third parties to access the Services through your account
• Submit false, fraudulent, or misleading information during registration or use of the Services

Violations of this Acceptable Use policy may result in immediate account suspension or termination as described in the Account Enforcement and Termination sections below.

Intellectual Property

All content, features, and functionality of the Services, including but not limited to text, graphics, logos, software, and AI-generated materials, are owned by Mente Labs LLC or its licensors and are protected by copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and use the Services for personal, non-commercial educational purposes. You may not reproduce, distribute, modify, or create derivative works without our express written permission.

Payment and Subscriptions

Certain features of our Services may require payment. By purchasing a subscription or paid service, you agree to:

• Pay all applicable fees as described at the time of purchase
• Provide accurate and complete billing information
• Authorize us to charge your payment method on a recurring basis for subscriptions

Subscriptions automatically renew unless canceled. You may cancel your subscription at any time through your account settings. Refunds are subject to our refund policy.

Account Enforcement

We are committed to maintaining a safe, fair, and reliable platform for all users. Depending on the severity and nature of a violation, Mente Labs LLC may take the following enforcement actions:

Enforcement decisions are made at our sole discretion. We are not obligated to provide advance notice before taking enforcement action when doing so would risk harm to the platform, other users, or our systems.

Termination

We reserve the right to suspend or terminate your account and access to the Services at any time, with or without notice, for any reason, including but not limited to:

• Violation of these Terms or our Acceptable Use policy
• Fraudulent, abusive, or illegal activity
• Extended period of inactivity (accounts inactive for more than 24 months)
• Failure to pay applicable fees or recurring chargebacks
• Any conduct that Mente Labs LLC determines, in its sole discretion, is harmful to the platform, other users, or the integrity of our Services

You may voluntarily terminate your account at any time by contacting us at support@mentelabs.com or through your account settings. Upon any termination, your right to access and use the Services will immediately cease. Data handling following termination is governed by our Privacy Policy.

Disclaimers

Mente Labs LLC does not warrant that:

• The Services will be uninterrupted, secure, or error-free
• The results obtained from the Services will be accurate or reliable
• Any errors or defects will be corrected
• AI-generated content will be free from inaccuracies or biases

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MENTE LABS LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, data, or goodwill
• Service interruptions or errors
• Actions taken based on AI-generated content or recommendations
• Unauthorized access to or use of your account or data

Our total liability to you for all claims arising from or related to the Services shall not exceed the amount you paid to Mente Labs LLC in the 12 months preceding the claim.

Indemnification

You agree to indemnify, defend, and hold harmless Mente Labs LLC and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from:

• Your use of the Services
• Your violation of these Terms
• Your violation of any rights of another person or entity
• Any content you submit or transmit through the Services

Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles.

Any disputes arising from or relating to these Terms or the Services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except where prohibited by law. You may also have the right to bring claims in small claims court.

Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by updating the "Last Updated" date at the top of this page and, where appropriate, through email or in-platform notifications. Your continued use of the Services after such changes constitutes your acceptance of the modified Terms.
